§ 1 Allgemeines, Geltungsbereich 

(1) Diese Allgemeinen Geschäftsbedingungen gelten für alle Geschäftsbeziehungen zwischen
der cura3D GmbH & Co. KG,
Lützner Straße 102,
04177 Leipzig (im Folgenden „Lizenzgeber“) und ihren Kunden (im „Folgenden „Lizenznehmer“) für Verträge über die
zeitlich befristete Softwareüberlassung. Die Geschäftsbedingungen gelten nur, wenn der Lizenznehmer Unternehmer (§ 14 BGB), eine juristische Person des öffentlichen Rechts oder ein öffentlichrechtliches Sondervermögen ist. 

(2) Die Geschäftsbedingungen des Lizenzgebers gelten ausschließlich. Abweichende, entgegenstehende oder ergänzende Allgemeine Geschäftsbedingungen des Lizenznehmers werden nur dann und insoweit Vertragsbestandteil, als der Lizenzgeber ihrer Geltung ausdrücklich zugestimmt hat. Dieses Zustimmungserfordernis gilt in jedem Fall, beispielsweise auch dann, wenn der Lizenzgeber in Kenntnis der AGB des Lizenznehmers die Leistungen an ihn vorbehaltlos ausführt.

(3) Im Einzelfall getroffene, individuelle Vereinbarungen mit dem Lizenznehmer (einschließlich Nebenabreden, Ergänzungen und Änderungen) haben in jedem Fall Vorrang vor diesen Allgemeinen Geschäftsbedingungen. Für den Inhalt derartiger Vereinbarungen ist, vorbehaltlich des Gegenbeweises, ein schriftlicher Vertrag bzw. die schriftliche Bestätigung des Lizenzgebers maßgebend. Mit Ausnahme von Geschäftsführern oder Prokuristen sind die Mitarbeiter des Lizenzgebers nicht berechtigt, Ergänzungen oder Abänderungen der getroffenen Vereinbarungen einschließlich dieser Allgemeinen Geschäftsbedingungen mündlich zuzusagen. Derartige Zusagen bedürfen zu ihrer Wirksamkeit der schriftlichen Bestätigung durch den Lizenzgeber. 

(4) Rechtserhebliche Erklärungen und Anzeigen, die nach Vertragsschluss vom Lizenznehmer gegenüber dem Lizenzgeber abzugeben sind (z.B. Fristsetzungen, Mängelanzeigen, Erklärung von Rücktritt oder Minderung), bedürfen zu ihrer Wirksamkeit der Schriftform. Zur Wahrung der Schriftform genügt die telekommunikative Übermittlung, insbesondere per Telefax oder per E-Mail, sofern die Kopie der unterschriebenen Erklärung übermittelt wird.

§ 2 Vertragsgegenstand, Vertragsschluss 

(1) Der Gegenstand des konkreten Vertrages ist die auf die Vertragslaufzeit befristete Überlassung des im zugrundliegenden Angebot des Lizenzgebers genannten Computerprogramms im Objektcode inklusive der zugehörigen Benutzerdokumentation („Vertragssoftware“) und die Einräumung der zur vertragsgemäßen Nutzung erforderlichen Rechte nach Maßgabe dieser Allgemeinen Geschäftsbedingungen.
Die Hardware- und Softwareumgebung, innerhalb der die Vertragssoftware einzusetzen ist, ist ebenfalls im Angebot des Lizenzgebers festgelegt. 

(2) Der Vertrag kommt mit Annahme des Angebots des Lizenzgebers durch den Lizenznehmer zustande. Das Vertragsangebot des Lizenzgebers gilt als rechtzeitig angenommen, wenn der Lizenznehmer innerhalb von vier Wochen nach Zugang des Angebots oder im Fall der Angabe einer Angebotsfrist bis zu deren Ablauf schriftlich die Annahme erklärt. Die Übermittlung der Annahme per Telefax oder E-Mail genügt, sofern die Kopie der unterschriebenen Erklärung übermittelt wird. 

(3) Der Lizenzgeber stellt dem Lizenznehmer die Vertragssoftware und die Benutzerdokumentation auf seiner Homepage (http://www.cura3d.com) zum Download bereit. Für den Login in den geschützten Bereich seines Internetauftritts teilt er ihm den Benutzernamen sowie das zugehörige Passwort („Zugangsdaten“) mit. 

(4) Die Beschaffenheit und Funktionalität der Vertragssoftware ergibt sich abschließend aus dem Angebot des Lizenzgebers sowie der beigefügten Produktbeschreibung. Die darin enthaltenen Angaben sind als Leistungsbeschreibungen zu verstehen und nicht als Garantien. Eine Garantie wird nur gewährt, wenn sie als solche ausdrücklich bezeichnet worden ist. 

(5) Installations- und Konfigurationsleistungen sind ohne ausdrückliche Vereinbarung nicht Gegenstand des Vertrags.

§ 3 Rechteeinräumung 

(1) Der Lizenznehmer erhält das nicht ausschließliche, zeitlich auf die Laufzeit des Mietvertrags beschränkte, nicht übertragbare und nicht unterlizenzierbare Recht zur Nutzung der Software gemäß des im Angebot des Lizenzgebers dargestellten Umfangs. Die Vertragssoftware darf insbesondere nur durch maximal die Anzahl natürlicher Personen gleichzeitig genutzt werden, die der vom Lizenznehmer erworbenen Lizenzen entspricht. Die zulässige Nutzung umfasst die Installation der Vertragssoftware, das Laden, Anzeigen und Ablaufenlassen sowie den bestimmungsgemäßen Gebrauch durch den Lizenznehmer. Die Anzahl der Lizenzen sowie Art und Umfang der Nutzung bestimmen sich im Übrigen nach dem Angebot des Lizenzgebers. 

(2) Der Lizenznehmer ist berechtigt, eine Sicherungskopie zu erstellen, wenn dies zur Sicherung der künftigen Nutzung erforderlich ist. Der Lizenznehmer wird auf der erstellten Sicherungskopie den Vermerk „Sicherungskopie“ sowie einen Urheberrechtsvermerk des Lizenzgebers sichtbar anbringen. 

(3) Darüber hinaus ist der Lizenznehmer ausschließlich dann berechtigt, die Software zu vervielfältigen, zu bearbeiten oder zu dekompilieren, wenn dies gesetzlich zulässig ist und nur dann, sofern die hierzu notwendigen Informationen nicht auf Anfrage des Lizenznehmers durch den Lizenzgeber zugänglich gemacht werden. 

(4) Über die in den Abs. 1 bis 3 genannten Fälle hinaus ist der Lizenznehmer nicht zur Vervielfältigung der Software berechtigt. 

(5) Der Lizenznehmer ist nicht berechtigt, die ihm überlassene Kopie der Software oder die gegebenenfalls erstellte Sicherungskopie Dritten zu überlassen. Insbesondere ist es ihm nicht gestattet, die Software zu veräußern, zu verleihen, zu
vermieten oder in sonstiger Weise unterzulizenzieren oder die Software öffentlich wiederzugeben oder zugänglich zu machen. 

(6) Nutzt der Lizenznehmer die Vertragssoftware in einem Umfang, der die erworbenen Nutzungsrechte qualitativ (im Hinblick auf die Art der gestatteten Nutzung) oder quantitativ (im Hinblick auf die Anzahl der erworbenen Lizenzen) überschreitet, so wird er unverzüglich die zur erlaubten Nutzung notwendigen Nutzungsrechte erwerben. Unterlässt er dies, so wird der Lizenzgeber die ihm zustehenden Rechte geltend machen. 

(7) Urhebervermerke, Seriennummern sowie sonstige der Programmidentifikation dienende Merkmale dürfen nicht von der Vertragssoftware entfernt oder verändert werden.

§ 4 Open Source-Bestandteile der Vertragssoftware 

(1) Die Vertragssoftware enthält Bestandteile, die als Open Source Software lizenziert sind (nachfolgend als „Open Source-Komponenten“ bezeichnet) und Bestandteile, die ausschließlich unter den Lizenzbedingungen in § 3 genutzt werden dürfen (nachfolgend als „proprietäre Komponenten“ bezeichnet). Die Open Source-Komponenten sind in Anlage 1 mit den jeweils einschlägigen Lizenztexten aufgelistet. Für diese gelten abweichend zu § 3 die nachfolgenden Bestimmungen dieses § 4. Der Sourcecode der Open Source-Komponenten wird dem Lizenznehmer zusammen mit den Urhebervermerken, Disclaimern und etwaigen weiteren Hinweisen im Rahmen des Downloads der Vertragssoftware gesondert zur Verfügung gestellt. 

(2) Der Lizenznehmer ist berechtigt, die Open Source-Komponenten in dem in § 3 Abs. 1 S. 1 beschriebenen Umfang zu nutzen. Der Lizenznehmer kann an den Open Source-Komponenten weitergehende Nutzungsrechte von den jeweiligen Rechteinhabern erwerben, wenn er mit diesen Lizenzverträge unter den Bedingungen der jeweiligen Open Source-Lizenzen abschließt.
In diesem Fall wird die Nutzung der Open Source-Komponenten nicht von diesem Vertrag erfasst, sondern richtet sich alleine nach den jeweiligen Open Source-Lizenzen (Anlage 1). 

(3) Der Lizenznehmer ist berechtigt, die proprietären Komponenten, die mit unter der GNU Lesser General Public License, Version 2.1 (LG-PLv2) lizenzierten Programmbibliotheken verlinkt sind, für den internen Gebrauch des Lizenznehmers zu
bearbeiten und zu diesem Zweck zu analysieren und zu reengineeren. Eine Weitergabe der dadurch gewonnenen Informationen und der bearbeiteten proprietären Komponenten ist nicht gestattet. Eine Liste der proprietären Komponenten, die mit unter der LGPLv2 lizenzierten Programmbibliotheken verlinkt sind, ist in Anlage 1 beigefügt. 

(4) Der Lizenznehmer ist berechtigt, die proprietären Komponenten, die mit unter der GNU Lesser General Public License, Version 3 (LG-PLv3) lizenzierten Programmbibliotheken verlinkt sind, zu analysieren und zu reengineeren, um die unter
der LGPLv3 lizenzierten Programmbibliotheken bearbeiten und Fehler der proprietären Komponenten beheben zu können. Eine Weitergabe der dadurch gewonnenen Informationen ist nicht gestattet. Eine Liste der proprietären Komponenten, die mit unter der LGPLv3 lizenzierten Programmbibliotheken verlinkt sind, ist in Anlage 1 beigefügt. 

(5) Der Lizenznehmer darf im Rahmen der Instandhaltung erhaltene Open Source-Software entsprechend den Regelungen in den Absätzen (2) bis (4) nutzen. Der Lizenzgeber wird dem Lizenznehmer bei Übergabe mitteilen, bei welchen Bestandteilen es sich um Open Source-Komponenten handelt und bei welchen Bestandteilen um proprietäre Komponenten. 

(6) Open Source-Komponenten dürfen Dritten zugänglich gemacht werden oder an Dritte weitergegeben werden. Insoweit gelten die jeweiligen Open Source-Lizenzen aus Anlage 1. 

(7) Für Änderungen und Bearbeitungen der Open Source-Komponenten richten sich die Pflichten des Lizenznehmers allein nach den in Anlage 1 aufgelisteten Lizenztexten.

§ 5 Entgelt, Fälligkeit und Verzug 

(1) Die monatliche Vergütung („Monatslizenz“) für die Gebrauchsgewährung ergibt sich aus dem vertragsgegenständlichen Angebot des Lizenzgebers. Wird der Vertrag nicht am ersten Tag eines Kalendermonates geschlossen, berechnet sich die für den ersten Monat zu entrichtende Miete anteilig nach den verbleibenden Tagen des Monats, beginnend mit dem auf die Bereitstellung der Software folgenden Tag. 

(2) Der Mietzins wird für den jeweiligen Monat im Voraus am 3. Werktag eines jeden Monats fällig. Im ersten Monat des Mietzeitraumes wird der Mietzins mit vollständiger Bereitstellung der Software fällig. 

(3) Die jährliche Vergütung („Jahreslizenz“) für die Gebrauchsgewährung ergibt sich aus dem vertragsgegenständlichen Angebot des Lizenzgebers. Wird der Vertrag nicht am ersten Tag eines Kalenderjahres geschlossen, berechnet sich die für das erste Jahr zu entrichtende Miete anteilig nach den verbleibenden Tagen des Jahres, beginnend mit dem auf die Bereitstellung der Software folgenden Tag.

(4) Der Mietzins wird für das jeweilige Jahr im Voraus am 3. Werktag des ersten Monats eines jeden Jahres fällig. Im ersten Jahr des Mietzeitraums wird der Mietzins mit vollständiger Bereitstellung der Software fällig.

(5) Sämtliche Preise verstehen sich netto, d.h. ausschließlich der ggf. anfallenden Mehrwertsteuer.

§ 6 Pflichten des Kunden 

(1) Der Lizenznehmer ist verpflichtet, dem Lizenzgeber unverzüglich nach Vertragsabschluss alle zur 3D-Modellierung benötigen Daten zur Verfügung zu stellen. Dazu gehören insbesondere die vollständigen Raum-Grundrisse. Außerdem muss der Lizenznehmer einem Mitarbeiter des Lizenzgebers an einem Tag Zugang zu den Ausstellungsräumen zur fotographischen Aufnahme der Boden- und Deckentexturen gewähren. 

(2) Der Lizenznehmer verpflichtet sich, eigenständig alle Bilddaten von Exponaten samt Metadaten gemäß den Vorgaben des Lizenzgebers zur Spezifikation der Eingabedaten rechtzeitig zu übermitteln. 

(3) Der Lizenznehmer ist eigenständig verantwortlich, geeignete Client-Hardware zur Inbetriebnahme der Vertragssoftware bereitzustellen. Die Hardware-Voraussetzungen ergeben sich aus dem Angebot des Lizenzgebers. Wünscht der Lizenznehmer eine Installation auf einem Lizenznehmereigenen, php-fähigen Server, so muss er dem Lizenzgeber die zur Installation nötigen FTP-Zugangsdaten übergeben. 

(4) Der Lizenznehmer wird die Vertragssoftware sowie gegebenenfalls die Zugangsdaten für den Onlinezugriff durch geeignete Maßnahmen vor dem Zugriff durch unbefugte Dritte sichern. Insbesondere sind sämtliche Kopien der Vertragssoftware sowie die Zugangsdaten an einem geschützten Ort zu verwahren. Der Lizenznehmer verpflichtet sich, seine Mitarbeiter über die in diesem Vertrag festgelegten Bedingungen zur Nutzung der Vertragssoftware und die Urheberrechte zu belehren.

§ 7 Instandhaltung 

(1) Der Lizenzgeber leistet Gewähr für die Aufrechterhaltung der vertraglich vereinbarten Beschaffenheit der Software während der Vertragslaufzeit sowie dafür, dass einer vertragsgemäßen Nutzung der Software keine Rechte Dritter entgegenstehen. Der Lizenzgeber wird auftretende Sach- und Rechtsmängel an der Mietsache in angemessener Zeit beseitigen. 

(2) Der Lizenznehmer ist verpflichtet, dem Lizenzgeber Mängel der Software nach deren Entdeckung unverzüglich schriftlich anzuzeigen. Bei Sachmängeln erfolgt dies unter Beschreibung der Zeit des Auftretens der Mängel und der näheren Umstände. 

§ 8 Haftung 

(1) Der Verkäufer haftet unbeschränkt

• bei Vorsatz oder grober Fahrlässigkeit,
• für die Verletzung von Leben, Leib oder Gesundheit,
• nach den Vorschriften des Produkthaftungsgesetzes sowie
• im Umfang einer vom Verkäufer übernommenen Garantie.

(2) Bei leicht fahrlässiger Verletzung einer Pflicht, die wesentlich für die Erreichung des Vertragszwecks ist (Kardinalpflicht), ist die Haftung des Lizenzgebers der Höhe nach begrenzt auf den Schaden, der nach der Art des fraglichen Geschäfts vorhersehbar und typisch ist. 

(3) Eine weitergehende Haftung des Lizenzgebers besteht nicht. 

(4) Die vorstehende Haftungsbeschränkung gilt auch für die persönliche Haftung der Mitarbeiter, Vertreter und Organe des Lizenzgebers.

§ 9 Vertraulichkeit 

(1) „Vertrauliche Informationen“ sind alle Informationen und Unterlagen der jeweils anderen Partei, die als vertraulich gekennzeichnet oder aus den Umständen heraus als vertraulich anzusehen sind, insbesondere Informationen über betriebliche Abläufe, Geschäftsbeziehungen und Knowhow. 

(2) Die Vertragsparteien vereinbaren, über vertrauliche Informationen Stillschweigen zu wahren. 

(3) Von dieser Verpflichtung ausgenommen sind solche vertraulichen Informationen, 

a) die dem Empfänger bei Abschluss des Vertrags nachweislich bereits bekannt waren oder danach von dritter Seite bekannt werden, ohne dass dadurch eine Vertraulichkeitsvereinbarung, gesetzliche Vorschriften oder behördliche Anordnungen verletzt werden; 

b) die bei Abschluss des Vertrags öffentlich bekannt sind oder danach öffentlich bekannt gemacht werden, soweit dies nicht auf einer Verletzung dieses Vertrags beruht; 

c) die aufgrund gesetzlicher Verpflichtungen oder auf Anordnung eines Gerichts oder einer Behörde offen gelegt werden müssen. Soweit zu lässig und möglich, wird der zur Offenlegung verpflichtete Empfänger die andere Partei vorab unterrichten und ihr Gelegenheit geben, gegen die Offenlegung vorzugehen. 

(4) Die Vertragsparteien werden nur solchen Beratern Zugang zu vertraulichen Informationen gewähren, die dem Berufsgeheimnis unterliegen oder denen zuvor den Geheimhaltungsverpflichtungen dieses Vertrags entsprechende Verpflichtungen auferlegt worden sind. Des Weiteren werden die Vertragsparteien nur denjenigen Mitarbeitern die vertraulichen Informationen offen legen, die diese für die Durchführung des Vertrages kennen müssen, und diese Mitarbeiter auch für die Zeit nach ihrem Ausscheiden in arbeitsrechtlich zulässigem Umfang zur Geheimhaltung verpflichten. 

(5) Jeder schuldhafte Verstoß gegen diese Regelungen zieht eine angemessene Vertragsstrafe nach sich, deren Höhe die verletzte Partei nach billigem Ermessen bestimmt und die im Streitfall vom zuständigen Gericht zu überprüfen ist. Weitergehende Ansprüche der verletzten Vertragspartei bleiben davon unberührt.

§ 10 Laufzeit und Kündigung „Monatslizenz“

(1) Der Vertrag wird auf unbestimmte Zeit geschlossen. Er kann von jeder Partei ab dem zweiten Nutzungsmonat mit einer Frist von einundzwanzig Tagen (21) zum Nutzungsmonatsende gekündigt werden. Im ersten Nutzungsmonat gilt eine Kündigungsfrist von drei Tagen. 

(2) Der Mietvertrag kann darüber hinaus von jeder Partei ohne Einhaltung einer Frist aus wichtigem Grund schriftlich gekündigt werden. Ein wichtiger Grund, der den Lizenzgeber zur Kündigung berechtigt, liegt insbesondere vor, wenn der Lizenznehmer Nutzungsrechte des Lizenzgebers dadurch verletzt, dass er die Software über das nach diesem Vertrag gestattet Maß hinaus nutzt und die Verletzung auf eine Abmahnung des Lizenzgebers hin nicht innerhalb angemessener Frist abstellt. 

(3) Die Kündigung muss schriftlich erfolgen (Email oder Brief). 

(4) Im Falle einer Kündigung hat der Lizenznehmer die Nutzung der Software aufzugeben und sämtliche installierten Kopien des Programms von seinen Rechnern zu entfernen sowie dem Lizenzgeber gegebenenfalls erstellte Sicherungskopien nach dessen Wahl unverzüglich zurückzugeben oder diese zu zerstören.

§ 11 Laufzeit und Kündigung „Jahreslizenz“

(1) Der Vertrag wird auf unbestimmte Zeit geschlossen. Er kann von jeder Partei mit einer Frist von dreißig (30) Tagen zum Ende eines jeden Vertragsjahres gekündigt werden. Eine Kündigung während der Laufzeit des Vertrags ist nur zum Ende des ersten und der darauffolgenden Vertragsjahre möglich.

(2) Der Mietvertrag kann darüber hinaus von jeder Partei ohne Einhaltung einer Frist aus wichtigem Grund schriftlich gekündigt werden. Ein wichtiger Grund, der den Lizenzgeber zur Kündigung berechtigt, liegt insbesondere vor, wenn der Lizenznehmer Nutzungsrechte des Lizenzgebers dadurch verletzt, dass er die Software über das nach diesem Vertrag gestattete Maß hinaus nutzt und die Verletzung auf eine Abmahnung des Lizenzgebers hin nicht innerhalb angemessener Frist abstellt.

(3) Die Kündigung muss schriftlich erfolgen (Email oder Brief).

(4) Im Falle einer Kündigung hat der Lizenznehmer die Nutzung der Software aufzugeben und sämtliche installierten Kopien des Programms von seinen Rechnern zu entfernen sowie dem Lizenzgeber gegebenenfalls erstellte Sicherungskopien nach dessen Wahl unverzüglich zurückzugeben oder diese zu zerstören.

§ 12 Sonstiges 

(1) Der Lizenznehmer darf Rechte und Pflichten aus oder im Zusammenhang mit diesem Vertrag nur nach schriftlicher Zustimmung des Lizenzgebers auf Dritte übertragen. 

(2) Eine Aufrechnung ist nur gegenüber unbestrittenen oder rechts kräftig festgestellten Forderungen des Lizenzgebers statthaft. 

(3) Auf diesen Vertrag ist ausschließlich das deutsche Recht unter Ausschluss des UN-Kaufrechts anzuwenden. 

(4) Ausschließlicher Gerichtsstand ist der Sitz des Lizenzgebers, sofern jede Partei Kaufmann oder juristische Person des öffentlichen Rechts ist. 

(5) Sollten einzelne Bestimmungen dieses Vertrags unwirksam sein, berührt dies die Gültigkeit der übrigen Bestimmungen grundsätzlich nicht.

0. Additional Definitions.
As used herein, “this License” refers to version 3 of the GNU Lesser General Public License, and the “GNU GPL” refers to version 3 of the GNU General Public License.
“The Library” refers to a covered work governed by this License, other than an Application or a Combined Work as defined below. An “Application” is any work that makes use of an interface provided by the Library, but which is not otherwise based on the Library. A “Combined Work” is a work produced by combining or linking an Application with the Library.
